Affiliate Programme Terms and Conditions

Terms of Service

To be an authorised affiliate of Authoritas (a trading name of Analytics SEO Limited) you agree to abide by the Affiliate Programme Terms and Conditions contained in this agreement.

Please read this agreement carefully before registering and using the Authoritas service as an affiliate. By signing up for the Authoritas affiliate programme you confirm your acceptance of this agreement and its terms and conditions.

Authoritas reserves the right to update and change the Affiliate Programme Terms and Conditions from time to time without notice. Any new features that augment or enhance the current Programme, including the release of new tools and resources, shall be subject to the Affiliate Programme Terms and Conditions in force at the time. Continued use of the Programme after any such changes shall constitute your consent to such changes. You can review the most current version of the Affiliate Programme Terms and Conditions at any time at https://www.authoritas.com/affiliate/terms/.

Violation of any of the terms below will result in the termination of your Affiliate Account and forfeiture of any outstanding affiliate commission payments earned during the violation. You agree to use the Affiliate Programme at your own risk.

1. Introduction

This agreement states the full terms and conditions that apply to individuals or entity’s participating in the Authoritas (“Authoritas”, “Analytics SEO”, “we”, “us” or “our”) affiliate programme (“the Programme”).

We hereby wish to appoint you (“you or “the Affiliate”) as an Affiliate of Authoritas for the purpose of promoting Authoritas packages available on our website (“the Website” or “our Website”) on your website (“your Website”) in exchange for a referral commission detailed in Clause 7 of this Agreement.

2. Application Procedure

2.1 In order to become an affiliate of Authoritas you must make a formal application on our website subject to the acceptance of the terms and conditions set out herein.

2.2 On receipt of your application we will evaluate your Website’s suitability to the Programme. We reserve the sole right to decline your application if we feel that it does not satisfy the interest of either the Website or the Programme, or both. Once your Website has been reviewed we will notify you on whether your application has been accepted or declined.

2.3 If your Website is accepted and it is later determined that you are unsuitable for the programme then we have the sole discretion to cancel the Programme with immediate effect.

3. Integration

Participation in the affiliate Programme requires your Website to be correctly integrated to our Website. You must adhere to the following terms to ensure this condition is maintained through the term of the Programme.

3.1 Integration of your Website to our Website is achieved through a choice of links (“the Links”) available within the affiliate control panel at https://www.authoritas.com/. Any of the Links will enable your end-user to navigate to our Website.

3.2 The appearance of the Links are controlled by Authoritas and you agree that participation in the Programme requires you to adopt only the links presented at the location stated in sub Clause 3.1.

3.3 You must not alter the appearance or the functionality of the Links in any such way.

3.4 From time to time we may alter the appearance or functionality of the links and it is your responsibility to ensure that you are using the most up to date version. We therefore advise you to return to the site regularly to ensure this requirement is satisfied.

4. Obligations of the Affiliate

4.1 If the Affiliate is a natural person he must be at least 18 years of age.

4.2 The Affiliate warrants that the information furnished to Authoritas about himself and his website is correct, complete and sent in due order and that the information corresponds to actual facts. The Affiliate must notify Authoritas immediately of any changes in the information by updating the information about him on Authoritas’ website. If the Affiliate is a limited company Authoritas must be provided with the Affiliate’s full registered name, company registration number, registered office, trading address if different and VAT number if registered.

4.3 The Affiliate warrants either that the rights to all information and productions on the Affiliate’s website belong to the Affiliate or that the owner of the rights to the information and productions on the Affiliate’s website has given his explicit permission to their publication there. The Affiliate also warrants that the information and productions on the Affiliate’s website do not infringe any rights of third parties, including intellectual property rights, and that such information and productions are not offensive, prohibited or questionable in any way.

4.4 The Affiliate must not in any way generate or contribute to generating artificial traffic to our Website.

4.5 The Affiliate must notify Authoritas immediately of any known or suspected improper or wrongful use of the Affiliate’s links to Authoritas’ website and/or of Authoritas’ service in any way whatsoever.

5. Obligations of Authoritas

5.1 Authoritas undertakes to monitor and register all customers generated from the Affiliate’s website in accordance with the service provided by Authoritas.

5.2 Authoritas will collect and pay to the Affiliate all amounts due to him arising from this Agreement in accordance with clause 7 below.

6. Orders

It is our responsibility to process the order for customers who are referred from your Site through the integration detailed in Clause 3. It is also our responsibility to manage all aspects of after sales service and any other issues associated with the order. We will track sales made to customers who purchase Authoritas packages using the Links from your Website to our Website and will publish such data to you in periodic reports. You must ensure the Links from your Website to our Website are correctly formatted at all times. As a participant in this Programme you must accept that we cannot be held responsible for the incorrect formatting of the Links on your Website and will not be liable to settle any referral fees that occur through such circumstances.

7. Referral Commission

7.1 In order for a referral to generate commission, the customer must first arrive on our Website from your Website via the integration detailed in Clause 3, the customer must be a 3rd party (and may not be the Affiliate or a related party of the Affiliate) and the customer must subscribe to a package, accept our specific terms of purchase and remit payment in full to Authoritas within 30 days. Referral commissions will only be paid on subscription fees. No referral commission will be paid on any usage/overage charges.

7.2 Referral commission will be paid only when a customer enters our web site at https://www.authoritas.com/ and completes an order within a session. A session is defined as the period of time between when a customer first enters our Website through the integration detailed in Clause 3 and (a) 1 month after the initial click through, or, if sooner, (b) the date the customer re-enters the site through another third party affiliate link.

7.3 Referral commission will be paid at 20% on the net subscription revenues (excluding VAT) paid by a customer referred in accordance with clauses 7.1 and 7.2 for the customer’s lifetime with Authoritas.

7.4 Commission structure is subject to change at our discretion. We will notify all Affiliates 30 days prior to a commission structure change. Commissions earned under the previous structure will be paid under the previous structure. Commissions under the new structure will be paid under the new structure.

7.5 We reserve the right to disqualify referral commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

7.6 The affiliate Programme is intended for commercial use only and you must not under any circumstances offer incentives, commissions or payment to any individual or business in return for making an order on our Website through the integration detailed in Clause 3. It is also forbidden to subscribe to packages through this Programme that are intended for resale or commercial exploitation. Such actions may result in the withholding of referral fees and/or termination from the Programme.

8. Remittance

8.1 Commission will be payable on all orders processed on our Website that meet the provisions detailed in Clause 7 (“Eligible Orders”). Authoritas will send you a Commission Report within 45 days of the end of each calendar month reporting the commission payable on all Eligible Orders processed and paid during the calendar month at the rate specified in sub Clause 7.3.

8.2 It is the responsibility of the Affiliate to raise a valid invoice (including VAT, if applicable) for any commission payable in accordance with the Commission Report. Authoritas will settle any valid invoices within 30 days of receipt of invoice, subject to clause 8.3 below.

8.3 If the referral commission generated in one month is less than £50.00 then the remittance for that month will be retained until the cumulative amount is greater than £50.00. Once the remittance is greater than £50.00 the referral commission will be paid within 30 days of receipt of the latest dated invoice received in this regard.

8.4 If a refund is given on a sale that has previously generated a referral commission, we will deduct the corresponding fee from your next remittance. Should the funds be unavailable we will invoice you for the outstanding fee.

8.5 Payment to the Affiliate will be made via PayPal. Affiliates must provide their PayPal email in the Affiliate Application form. It is the Affiliates responsibility to ensure that a current PayPal email address is held on file by Authoritas.

8.6 The Affiliate is responsible for the payment of all taxes payable on any remittances made to him by Authoritas.

9. Policies

9.1 Customers who buy products or services from Authoritas via the Affiliate Programme are the responsibility of Authoritas. As such all operating policies, customer service issues and warranties associated with an order are the responsibility of Authoritas.

9.2 It is the sole discretion of Authoritas to change any polices referred to in sub Clause 9.1 without warning or notice.

9.3 Authoritas make every available effort to ensure product or service specifications, price and availability are accurate at the time of sale however we provide no guarantee that this provision will be met.

10. Intellectual Property Rights 

Authoritas owns all copyrights, trademarks, intellectual property rights, know-how or any other rights connected to the service or software necessary for the service. The Affiliate does not acquire any rights or licences whatsoever under this Agreement other than those granted in clause 11 below.

11. Licence Agreement

11.1 Authoritas grants you a non-exclusive, worldwide, royalty-free licence for the term of this Programme to utilise the integration detailed in Clause 3 for the purpose of generating referrals from your Website to our Website.

11.2 We have the right to terminate this licence at any time at our sole discretion.

11.3 We reserve all rights to any other graphics, text, source code, trademarks, trade names, and all other intellectual property rights contained within but not limited to the Authoritas Website.

12. Trademark and Search Engine Marketing

Authoritas™, Linkdex™ and Analytics SEO™ are registered trademarks of Analytics SEO Limited.

12.1 Affiliates are prohibited from bidding on trademarked/branded terms, as well as misspellings/variations thereof. Use of trademarked/branded terms in long tail keywords is also restricted.

12.2 Affiliates may not use authoritas.com or https://www.authoritas.com/ as the display URL in any search ad. The use of authoritas.com or any variation is allowed in the display URL in search ads ONLY after the root URL (Example: www.affiliatesite.com/authoritas).

12.3 Affiliates must not use any illegal, deceptive or misleading claims in ad copy. Affiliates are also prohibited from including the phrase “Official Site”, official language, or trademark symbols in ad copy. Affiliates may not include Authoritas or Linkdex or any misspelling or variation in ad copy.

12.4 Affiliates are prohibited from direct linking.

12.5 Affiliates MAY NOT bid on any trademarked terms, or variations or misspellings of those terms. Any other terms are free to be bid on. Affiliates MAY NOT link directly from their ad to any page on our site and they MAY NOT use our site URL as their display URL.

13. Website Content and Domain Names

13.1 Affiliates may not register or purchase domain names including the term Authoritas or Linkdex any misspellings or variations. Affiliates promoting Authoritas in this manner will immediately be removed from the Authoritas Affiliate Programme and all associated transactions will be reversed. Authoritas may not be used as a subdomain (Example: authoritas.example.com), however, it may be used as a directory of your domain (Example: www.example.com/authoritas).

13.2 Affiliates may not promote Authoritas on websites that contain any form of misleading, defamatory, obscene, adult, bigoted, illegal, software, spiderweb marketing or any other content deemed offensive by Authoritas. Authoritas will also not accept applications that include non-working websites, blogs without content, or parked domains.

14. Coupons and Promotional Codes

14.1 Affiliates may only use active coupons and promotional codes that are provided exclusively through the Authoritas affiliate programme.

14.2 Affiliates are not permitted to promote coupon or promotional codes from Authoritas non-affiliate programme marketing efforts, such as email promotions.

15. Term of Agreement

15.1 The term of this agreement will begin upon our acceptance of you to participate in the Programme and will end when terminated by either party.

15.2 Either you or Authoritas have the right to terminate the agreement without cause at any time upon issue of a written notice to the other party.

15.3 You are eligible to earn referral commission only on orders that were taken during the term of this agreement in conjunction with the provisions detailed in Clause 7. Should you decide to terminate the agreement you will receive remittance only on referrals that were not subsequently cancelled or returned.

15.4 On cancellation of the agreement we may hold remittance for a period of time that is necessary to calculate final payments.

15.5 Upon termination of the agreement by either party you must remove any Links, graphics, text and source code associated with the Programme.

16. Limitation of Liability

16.1 Authoritas will under no circumstance be liable for indirect, special, or consequential damages including any loss of business, revenue, profits or data in relation to your participation in this Programme.

16.2 In addition to sub Clause 16.1 our total liability with respect to this Programme will not exceed the total referral commission paid or payable to you under this Agreement at the time the event that gave rise to the liability took place.

16.3 Notwithstanding the previous paragraph, nothing within this Agreement will operate to exclude any liability for death or personal injury arising as a result of the negligence of either party, its employees or agents.

17. Disclaimers

17.1 We make no warranties expressed or otherwise implied with respect to participation in this Programme or any other products or services sold through this Programme (including, without limitation, warranties of fitness or merchantability).

17.2 We do not guarantee uninterrupted availability of the Authoritas Website and cannot provide any representation that using the Website will be error free.

18. Indemnity

The Affiliate shall keep Authoritas indemnified against any claims for damages or other claims for compensation arising from the contents of the Affiliate’s website or any incorrect information given to Authoritas by the Affiliate. The Affiliate shall also compensate Authoritas for any other damages or costs caused by the Affiliate’s improper, negligent or unauthorised use of Authoritas’ service and technical problems or loss of data caused by the Affiliate on Authoritas’ website or on any website to which the Affiliate is linked by Authoritas.

19. Assignment of the Agreement

The Affiliate may not assign or pledge his rights or obligations under this Agreement in whole or in part to any third party without the prior written consent of Authoritas. The Affiliate agrees that Authoritas may assign its rights and obligations under this Agreement and divulge or transfer information about the Affiliate’s website, e-mail, etc to any third party.

20. Consent

The Affiliate consents to the publication of the Affiliate’s name and web address, etc on Authoritas’ website and to Authoritas sending newsletters, etc to the Affiliate’s e-mail address and using the information given by the Affiliate for marketing purposes.

21. Your Website

You hereby acknowledge that you are solely responsible for all materials that appear on your Website and accept that inclusion of any of the following material is prohibited:

21.1 any illegal material,

21.2 any obscene or sexually explicit material,

21.3 any violent, threatening or abusive material,

21.4 any material that may infringe the intellectual property of any third party,

21.5 any other material that Authoritas may decide is not in the general interest of the Programme.

22. Compliance with Laws

As a condition to your participation in the Programme, you agree that while you are a Programme participant you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a Programme participant.

23. Relationship of Parties

23.1 The Programme defined in this agreement is intended to be carried out on the understanding that both parties are acting as independent contractors and there is no attempt to form any partnership, joint venture, agency, sales representative, or employment relationship in this agreement.

23.2 Furthermore neither party has the authority to create liability against the other party.

24. Modification

Authoritas reserve the right to alter the terms detailed within this Agreement at any time without notice. By continuing to utilise the Links referred to in Clause 3 you will be deemed to have acknowledged and understood the current terms and conditions of the Programme. We strongly advise all participants in this Programme to regularly check the Affiliate Programme Terms and Conditions on our Website.

25. Severance

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.

26. Governing Law and Jurisdiction

This Agreement will be governed by the laws of England and both parties hereby agree to be bound exclusively by the jurisdiction of English law without reference to rules governing choice of laws.

This agreement has been entered into on the date it is signed by both parties.
